SalesShortcut.ai – Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between SalesShortcut.ai ("Company," "we," "us," or "our") and you ("User," "you," or "your") governing your access to and use of our website, platform, applications, APIs, and messaging services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Services.

1. Eligibility

You represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into this agreement;
  • You will use the Services only for lawful purposes; and
  • You will comply with all applicable laws and regulations, including telecommunications, consumer protection, anti-spam, and data protection laws.

2. Description of Services

SalesShortcut.ai provides AI-powered customer engagement and communication tools, including:

  • One-Time Password (OTP) and verification messages
  • Appointment confirmations and reminders
  • Transactional notifications
  • Marketing and promotional messaging

Messages may be delivered via SMS, MMS, email, or other electronic channels through third-party communication infrastructure providers and telecommunications carriers.

3. Consent and Opt-In Requirements

All SMS/MMS communications are permission-based.

3.1 Methods of Opt-In

Users may opt in through:

  • A web form containing a compliant consent checkbox; or
  • A keyword text-in subscription.

3.2 Required Disclosure

All opt-in mechanisms must clearly disclose:

  • Sender identity
  • Purpose of messages
  • Message frequency
  • "Message and data rates may apply"
  • STOP opt-out instructions
  • HELP support instructions
  • Links to these Terms and the Privacy Policy

Consent is not a condition of purchase.

4. Message Types and Frequency

Users may receive:

  • OTP/authentication messages
  • Transactional notifications
  • Appointment reminders
  • Marketing communications

  • Such information is used solely for delivering requested communications.
  • Operational data sharing with infrastructure or messaging providers occurs under confidentiality and data protection obligations.

7. User Responsibilities

You agree not to:

  • Send unsolicited or unlawful communications;
  • Violate applicable telecommunications or data protection laws;
  • Misrepresent your identity;
  • Attempt unauthorized system access;
  • Transmit harmful or malicious content.

You are solely responsible for the content you transmit using the Services.

8. Third-Party Services and Carriers

The Services rely on third-party providers and telecommunications carriers. We:

  • Do not guarantee message delivery or timeliness;
  • Are not responsible for carrier filtering or blocking;
  • Are not liable for third-party infrastructure failures.

8.1 YouTube API Services

Certain features of the Services use YouTube API Services. By using these features, you agree to be bound by the YouTube Terms of Service. Google's collection and use of your information is described in the Google Privacy Policy. Our handling of YouTube data is described in our Privacy Policy.

9. Intellectual Property

All software, branding, and proprietary materials remain the exclusive property of SalesShortcut.ai. Users receive a limited, revocable, non-exclusive license to use the Services.

10. Service Availability

We do not guarantee uninterrupted or error-free Services. Maintenance, outages, or carrier issues may affect availability.

11. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Total liability shall not exceed the greater of: $100 USD, or fees paid in the preceding six (6) months.

13. Indemnification

You agree to indemnify and hold harmless SalesShortcut.ai and its service providers from claims arising from:

  • Your misuse of the Services;
  • Violation of applicable law;
  • Breach of these Terms.

14. Recordkeeping and Compliance

We may retain:

  • Consent timestamps;
  • Opt-in source data;
  • Message logs;
  • Opt-out records;

for regulatory, audit, and compliance purposes.

15. Modifications

We may update these Terms at any time. Continued use constitutes acceptance of changes.

16. Termination

We may suspend or terminate access due to:

  • Violations of these Terms;
  • Legal requirements;
  • Security concerns;
  • Abuse of messaging services.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved exclusively in Delaware courts.

18. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and SalesShortcut.ai.

20. European Union, UK, and Swiss Users

If you are located in the EEA, UK, or Switzerland:

20.1 Lawful Basis

Personal data is processed under one or more of the following:

  • Consent
  • Contractual necessity
  • Legal obligation
  • Legitimate interests that do not override your rights

Marketing communications are based on prior consent where required.

20.2 Data Subject Rights

You may:

  • Access your data
  • Request correction
  • Request deletion
  • Restrict or object to processing
  • Request portability
  • Withdraw consent

20.3 International Transfers

20.4 Controller / Processor Role

Depending on context, SalesShortcut.ai may act as either:

  • Data Controller; or
  • Data Processor on behalf of business customers.

21. Global Users and Cross-Border Compliance

If accessing the Services outside the United States:

  • You are responsible for compliance with local laws.
  • You acknowledge that data may be processed in the United States or other jurisdictions with different data protection laws.
  • By using the Services, you consent to lawful cross-border transfers.

21.1 Telecommunications Compliance

You agree to comply with all applicable:

  • Anti-spam laws
  • Telecommunications regulations
  • Consumer protection laws
  • Electronic communications laws

21.2 Export Controls

The Services may not be used in violation of U.S. export control laws or sanctions regulations.

22. Binding Arbitration and Class Action Waiver

22.1 Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any communications between you and SalesShortcut.ai shall be resolved exclusively through final and binding arbitration, rather than in court, except as provided below. This agreement to arbitrate is governed by the Federal Arbitration Act (FAA).

22.2 Arbitration Procedure

Arbitration shall be administered by a nationally recognized arbitration organization under its consumer arbitration rules. Arbitration shall:

  • Be conducted by a single neutral arbitrator;
  • Take place in Delaware unless otherwise agreed;
  • Be conducted in English;
  • Allow for reasonable discovery;
  • Result in a written decision.

The arbitrator may award the same damages and relief that a court could award under applicable law.

22.3 Small Claims Exception

Either party may bring an individual action in small claims court if the claim qualifies.

22.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted solely on an individual basis and not as a class, consolidated, or representative action. You expressly waive the right to:

  • Participate in a class action lawsuit;
  • Participate in a class-wide arbitration;
  • Act as a private attorney general;
  • Join or consolidate claims with others.

If this class action waiver is found unenforceable, the arbitration provision shall be null and void.

22.5 Opt-Out Right

You may opt out of this arbitration agreement by providing written notice to [email protected] within 30 days of first accepting these Terms.

23. California Consumer Privacy Rights (CCPA / CPRA)

If you are a California resident, you have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act.

23.1 California Rights

Subject to verification, you have the right to:

  • Know what personal information we collect, use, disclose, and retain;
  • Request deletion of personal information;
  • Correct inaccurate personal information;
  • Opt out of the sale or sharing of personal information;
  • Limit use of sensitive personal information (if applicable);
  • Not be discriminated against for exercising your privacy rights.

23.2 No Sale or Sharing of Personal Information

SalesShortcut.ai does not sell personal information and does not share mobile phone numbers or SMS consent data for cross-context behavioral advertising.

23.3 Authorized Agents

You may designate an authorized agent to submit requests on your behalf, subject to identity verification.

24. TikTok and Third-Party Platform Integrations

This section applies when you connect a TikTok account to the Services, and applies in addition to the rest of these Terms.

24.1 Your Authority to Connect an Account

By connecting a TikTok account, you represent and warrant that you own that account or have sufficient authorization from the account owner to connect it and to manage it through SalesShortcut.ai. You are responsible for maintaining that authorization for as long as the account remains connected, and for disconnecting the account promptly if the authorization ends.

24.2 Limited Authorization to Act

You authorize SalesShortcut.ai to access the connected TikTok account and to perform the actions you request or configure, including:

  • Retrieving account and video information;
  • Retrieving comments and commenter information;
  • Generating reply drafts;
  • Submitting approved replies;
  • Uploading video files;
  • Publishing or scheduling content;
  • Retrieving publishing status and error information.

This authorization is limited to the permissions granted through TikTok and may be revoked by you at any time.

24.3 Ownership and Content License

You retain ownership of your videos, images, captions, replies, trademarks, and other content. You grant SalesShortcut.ai a limited, non-exclusive, worldwide license to host, store, process, modify as you instruct, transmit, and publish that content solely to provide the Services to you. This license ends when you delete the content or disconnect the account, subject to the retention periods described in our Privacy Policy.

You are responsible for ensuring that you hold all rights, licenses, consents, and permissions necessary for the videos, images, music, voices, trademarks, captions, and other materials you upload or publish through the Services.

24.4 TikTok's Rules Still Apply

Your use of TikTok through SalesShortcut.ai remains subject to TikTok's applicable Terms of Service, Community Guidelines, intellectual-property rules, music requirements, branded-content rules, advertising policies, and other platform requirements. SalesShortcut.ai is an independent service and is not owned, endorsed, certified, or operated by TikTok.

You remain solely responsible for complying with those rules, including:

  • Commercial-content and paid-partnership disclosures;
  • Disclosure of AI-generated or AI-assisted content where TikTok requires it;
  • Music, sound, and voice licensing and rights;
  • TikTok's Community Guidelines;
  • Third-party copyright and trademark rights.

24.5 Publishing and Reply Approval

SalesShortcut.ai may generate suggested posts, captions, and comment replies. Unless you have expressly enabled a supported automation rule, content is submitted to TikTok only after an authorized user reviews and approves the relevant post or reply.

Where you schedule content, selecting "Schedule" constitutes your instruction and approval to publish that specific content at the selected time using the selected settings. It is your responsibility to change or cancel scheduled content before it publishes if it is no longer appropriate.

24.6 AI Disclaimer

AI-generated suggestions may contain errors, omissions, inappropriate statements, or outdated information. You are responsible for reviewing AI-generated content before publication and for determining whether it is appropriate for your business, industry, audience, and legal obligations.

AI-generated responses are not professional medical, legal, financial, or other regulated advice. If you operate in a regulated field, you are responsible for arranging appropriate professional review and supervision of content published through the Services.

24.7 Comments and Third-Party Content

TikTok comments and commenter information are third-party content. SalesShortcut.ai does not control or endorse that content and cannot guarantee that every comment will be available, retrieved immediately, or remain available on TikTok.

When using comment-management features, you must not:

  • Harass, threaten, or discriminate against commenters;
  • Impersonate another person or organization;
  • Send spam or mass repetitive replies;
  • Engage in manipulative or artificial engagement;
  • Carry out unlawful profiling of commenters;
  • Publish private or sensitive information about a commenter;
  • Attempt to circumvent TikTok's restrictions, rate limits, or moderation systems.

24.8 Platform Availability

TikTok may change, restrict, suspend, or discontinue its APIs, permissions, account eligibility, rate limits, publishing capabilities, or other functionality at any time. SalesShortcut.ai does not guarantee uninterrupted availability of the TikTok integration, or that TikTok will approve, publish, distribute, or maintain any particular content.

SalesShortcut.ai is not responsible for:

  • TikTok account suspension or restriction caused by your content or conduct;
  • TikTok moderation decisions;
  • TikTok API outages or degraded performance;
  • Delayed or failed publication;
  • Reduced reach or distribution;
  • Token expiration or your revocation of access;
  • Regional or account-type restrictions imposed by TikTok.

24.9 Disconnecting and Termination

Disconnecting TikTok prevents SalesShortcut.ai from taking future actions on that account, but does not automatically delete videos, comments, or replies already published on TikTok. You must manage already-published content directly through TikTok where necessary.

We may disable or suspend the TikTok integration where:

  • Your authorization expires;
  • TikTok access is revoked or restricted;
  • You violate TikTok's rules or these Terms;
  • Continuing the integration would create a security or legal risk.

24.10 No Performance Guarantee

SalesShortcut.ai does not guarantee views, followers, engagement, leads, sales, discoverability, or any other performance result from content published or comments managed through the Services.
